Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ETA Signal, operated by PTW Consulting LLC (“we,” “us”). By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use ETA Signal.

What the service is

ETA Signal is research software for people searching to acquire a business. It surfaces Florida businesses (including off-market signals derived from public records), scores them against the buy-box you define, and produces AI-generated valuations and document analysis to help you screen opportunities. It is a research and productivity tool, not a broker, dealer, marketplace, investment adviser, or party to any transaction.

Not investment, legal, or brokerage advice

Valuations and scores are research estimates with confidence bands, not appraisals. Nothing here is investment, legal, or broker-dealer advice. Valuations, scores, succession signals, and document readings are automated estimates that can be incomplete or wrong. You are responsible for your own diligence, and for any decision you make. Nothing in ETA Signal creates a fiduciary, advisory, or brokerage relationship, and we are not registered as a broker-dealer or investment adviser.

Eligibility and your account

• You must be at least 18 and able to form a binding contract.
• You’re responsible for the accuracy of your account information and for keeping your login secure. You’re responsible for activity under your account.
• Accounts are for you; don’t share your login or resell access.

Subscriptions, billing, and refunds

• Paid plans and one-time credit purchases are billed through Stripe. Subscriptions renew automatically each period until you cancel; you can cancel anytime and keep access through the end of the paid period.
• Every signup includes a free trial as described at checkout. Prices and included features are those shown on our pricing page at the time of purchase.
• Except where required by law, payments and one-time credit purchases are non-refundable. Taxes are added where applicable.

Acceptable use

You agree not to:

• Scrape, resell, or redistribute the data or analysis in bulk, or use it to build a competing dataset or product.
• Use owner contact information for unlawful purposes, or in violation of anti-spam, telemarketing, or do-not-call rules. You are responsible for how you contact owners.
• Reverse engineer, disrupt, overload, or attempt to gain unauthorized access to the service or its systems.
• Upload content you don’t have the right to share, or that is unlawful.

Your content

You keep ownership of the documents and information you upload (such as a CIM) and your buy-box. You grant us a limited license to process it solely to provide the service to you — including sending it to our AI provider to generate the analysis you requested. We don’t sell your content. Our content and intellectual property

The software, scoring, valuations, and compiled outputs are ours or our licensors’ and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use them for your own search while your account is in good standing. Underlying public records are not owned by us.

Third-party data and links

ETA Signal draws on public records and third-party sources and may link out to third-party listings or sites. We don’t control and aren’t responsible for third-party content, and we don’t guarantee that any data is complete, current, or accurate.

Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the service will be uninterrupted, error-free, or that any result or estimate is accurate.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost opportunities, arising from your use of — or inability to use — the service or any decision made in reliance on it. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim.

Termination

You can stop using ETA Signal anytime. We may suspend or terminate access if you breach these Terms or use the service in a way that risks harm to us or others. Sections that by their nature should survive (ownership, disclaimers, limitation of liability) survive termination.

Changes to these Terms

We may update these Terms; we’ll revise the “last updated” date and, for material changes, take reasonable steps to notify you. Continued use after a change means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The courts located in Miami-Dade County, Florida have exclusive jurisdiction over disputes, and you consent to that venue.
